As a condition of your use of our Services, you agree to comply with all applicable federal, state, and local laws, rules, and regulations. You further agree that you will NOT engage in any of the following prohibited activities:

5.1 General Prohibited Conduct

• Using the Services for any unlawful, fraudulent, or deceptive purpose.
• Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with a person or entity.
• Attempting to gain unauthorized access to any portion or feature of the Services, or any other systems or networks connected to the Services.
• Interfering with or disrupting the integrity or performance of the Services or the data contained therein.
• Uploading or transmitting any viruses, malware, Trojan horses, or any other malicious or harmful code.
• Using any automated software, bots, spiders, scrapers, or other means to access, scrape, or collect data from the Services without our prior written consent.
• Attempting to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software used in connection with the Services.
• Collecting or harvesting any personally identifiable information from the Services.
• Using the Services in any manner that could damage, disable, overburden, or impair our servers or networks.

5.2 Ordering and Food-Related Prohibited Conduct

• Placing fraudulent, false, or duplicate orders with the intent to deceive Wing Snob or its staff.
• Providing false delivery addresses or contact information when placing orders.
• Attempting to claim unauthorized refunds, chargebacks, or credits.
• Abusing promotional codes, discount offers, or loyalty rewards programs, including but not limited to creating multiple accounts to exploit promotional offers.
• Engaging in any behavior that is abusive, threatening, or harassing toward Wing Snob staff, delivery personnel, or other customers.

5.3 Content Restrictions

If the Services permit user-generated content such as reviews, comments, or feedback, you agree not to submit any content that:

• Is defamatory, libelous, harassing, threatening, or offensive.
• Infringes any intellectual property rights of any third party.
• Contains false or misleading information.
• Violates any applicable federal, state, or local laws.

6. Intellectual Property Rights

All content, materials, and elements available on or through the Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, the Wing Snob name and brand, trademarks, service marks, trade dress, and the overall look and feel of the website (collectively, "Intellectual Property"), are the exclusive property of Wing Snob or its content suppliers and are protected by applicable United States intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), the Lanham Act (15 U.S.C. § 1051 et seq.), and other applicable laws.

7. Ordering and Payment Terms

7.1 Order Placement

Wing Snob reserves the right to accept or decline any order at our sole discretion. An order is considered accepted only when we confirm it through an order confirmation notification.

7.2 Pricing

All prices are displayed in United States Dollars (USD) and are subject to applicable federal, state, and local taxes. Wing Snob reserves the right to change prices at any time without prior notice. Prices displayed at the time of order confirmation are final for that transaction.

7.3 Payment Methods

We accept various forms of payment, which may include major credit cards, debit cards, and other payment methods as indicated on our website. By providing payment information, you represent and warrant that you are authorized to use the payment method and that the payment information you provide is accurate and complete.

7.4 Order Modifications and Cancellations

7.5 Refunds and Chargebacks

Refund eligibility is determined on a case-by-case basis, taking into account the nature of the issue, including incorrect orders, quality concerns, or non-delivery. Unauthorized chargebacks may result in account suspension and legal action. Please contact us directly to resolve any payment disputes before initiating a chargeback with your financial institution.

7.6 Promotions and Discount Codes

THE SERVICES AND ALL CONTENT, MATERIALS, PRODUCTS, AND FOOD ITEMS PROVIDED THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT OR INFORMATION ON THE WEBSITE.
• WARRANTIES THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, OR FREE OF OTHER HARMFUL COMPONENTS.
• WARRANTIES REGARDING THE QUALITY, SAFETY, OR SUITABILITY OF ANY FOOD PRODUCT FOR ANY PARTICULAR PERSON OR PURPOSE BEYOND WHAT IS REQUIRED BY APPLICABLE LAW.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such jurisdictions, Wing Snob's warranties are limited to the minimum scope permitted by applicable law.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WING SNOB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.
• LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR ANTICIPATED SAVINGS.
• DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.
• DAMAGES ARISING FROM ANY ERRORS OR OMISSIONS IN THE CONTENT ON THE WEBSITE.
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.
• DAMAGES ARISING FROM STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OR THROUGH THE SERVICES.

IN NO EVENT SHALL WING SNOB'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS ($100.00), OR (B) THE TOTAL AMOUNT PAID BY YOU TO WING SNOB IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN WING SNOB AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable federal, state, or local law or regulation.
• Your use of the Services in any manner not expressly authorized by these Terms.
• Your violation of any third-party rights, including intellectual property rights, privacy rights, or publicity rights.
• Any content you submit, post, or transmit through the Services.
• Your negligence, willful misconduct, or fraud.
• Any dispute between you and any third party related to the Services.

Wing Snob reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Wing Snob's defense of such claims.

13. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Wing Snob's principal place of business is located, without regard to its conflict of law provisions.

To the extent any dispute is not subject to arbitration as described in Section 14 below, you consent to the exclusive personal jurisdiction and venue of the federal and state courts located within the applicable jurisdiction of Wing Snob's principal place of business for the resolution of any such dispute. You waive any objection to the laying of venue of any such proceeding in such courts and waive any objection that such courts are an inconvenient forum.

Wing Snob operates in compliance with applicable United States federal laws, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) governing consumer protection and unfair or deceptive trade practices, the Americans with Disabilities Act (ADA), applicable food safety regulations enforced by the U.S. Food and Drug Administration (FDA), and all other applicable local health codes and regulations.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before filing any formal legal claim, you agree to first contact Wing Snob at [email protected] and attempt to resolve any dispute informally. Wing Snob will make good faith efforts to address your concerns within thirty (30) calendar days of receiving your written notice describing the nature of the dispute and the relief sought.

14.2 Binding Arbitration

If the dispute cannot be resolved informally within thirty (30) days, both parties agree that any and all disputes, claims, or controversies arising out of or relating to these Terms, the Services, or your relationship with Wing Snob (except for disputes related to Wing Snob's intellectual property rights, or claims that may be brought in small claims court) shall be resolved by final and binding arbitration administered by a recognized arbitration body such as the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at www.adr.org.

The arbitration shall be conducted in the English language. The arbitrator shall have the authority to award any remedy available under applicable law, but any award shall be consistent with these Terms. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND WING SNOB EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND WING SNOB EACH WAIVE ANY RIGHT TO A JURY TRIAL.

14.4 Opt-Out Right

You may opt out of the arbitration agreement by sending written notice to Wing Snob at [email protected] within thirty (30) days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration agreement. Opting out does not affect any other provisions of these Terms.

15. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Services. Wing Snob reserves the right, at its sole discretion, to suspend, disable, or terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately, for any reason including but not limited to:

• Violation of these Terms or any applicable law.
• Conduct that Wing Snob believes is harmful to other users, third parties, or Wing Snob's business interests.
• Fraudulent, abusive, or harassing behavior toward Wing Snob staff or other customers.
• Repeated chargebacks or payment disputes determined to be unwarranted.

Upon termination, your right to use the Services shall immediately cease. All provisions of these Terms which by their nature should survive termination shall so survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, limitations of liability, dispute resolution, and governing law.

You may terminate your account at any time by contacting us at [email protected]. Termination of your account does not relieve you of any outstanding payment obligations or claims arising before the date of termination.

16. Changes to Terms

Wing Snob reserves the right to modify, revise, or update these Terms of Service at any time in our sole discretion. We will indicate the date of the most recent revision at the top of this page. 19. Force Majeure

Wing Snob shall not be liable for any delay or failure to perform any obligation under these Terms to the extent that such delay or failure results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, labor disputes, supply chain disruptions, telecommunications failures, power outages, civil unrest, terrorism, war, or any other event beyond our reasonable control ("Force Majeure Event"). Wing Snob will use commercially reasonable efforts to resume performance as soon as reasonably practicable following the cessation of the Force Majeure Event.

Any failure by Wing Snob to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Wing Snob. Any purported assignment in violation of this section shall be null and void. Wing Snob may freely assign or transfer its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. 25. No Third-Party Beneficiaries

These Terms are for the sole and exclusive benefit of Wing Snob and you. Nothing in these Terms, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of these Terms, and no third party shall be deemed a third-party beneficiary under or by reason of these Terms.
